Terms of use

These terms are an agreement between you and HeyDeacon Limited (“HeyDeacon”). They govern your use of Deacon: the HeyDeacon website, the Deacon dashboard, the support widget you embed in your product, and everything else HeyDeacon offers (the “Services”). By creating an account or using the Services, you agree to them. If you’re agreeing on behalf of a company, you’re confirming you have the authority to bind it, and “you” means that company.

Please read the disclaimers and the limits on HeyDeacon’s liability closely. They set out what HeyDeacon does and doesn’t promise about Deacon’s answers.

1. Who HeyDeacon is

Deacon is operated by HeyDeacon Limited, a company registered in England. HeyDeacon builds an AI support agent that reads your documentation and answers your customers’ questions inside your own product.

2. Registration and access

Age. You must be at least 13 to use the Services, or older if that’s the minimum age where you live. If you’re under 18, you need permission from a parent or legal guardian.

Your account. Give HeyDeacon accurate, complete information when you register, and keep it current. Don’t share your credentials or hand your account to anyone else. You’re responsible for everything that happens under your account, so keep it secure and tell HeyDeacon promptly if you think someone else has got in. If you register on someone else’s behalf, you must have authority to accept these terms for them.

Using the Services. You may use the Services as long as you follow these terms, HeyDeacon’s other published policies, and the law. You must not:

  • use the Services unlawfully, or to harm, abuse, deceive, or harass anyone;
  • infringe anyone’s intellectual property, privacy, or other rights;
  • copy, modify, resell, or distribute the Services, or create derivative works from them, except as HeyDeacon expressly permits;
  • reverse engineer or attempt to discover the source code or underlying components of the Services, except where that restriction is prohibited by law;
  • scrape, harvest, or otherwise extract data from the Services by automated means HeyDeacon hasn’t authorised;
  • interfere with the Services, work around their rate limits or protective measures, or otherwise disrupt them for other users.

Software and updates. Parts of the Services, including the widget snippet you install, may update automatically. Some components are open source and come under their own licences, which apply alongside these terms.

Data and security. HeyDeacon uses industry standard measures to protect the information you provide, and handles personal data as described in the Privacy Policy, in line with UK and EU GDPR. In broad terms, HeyDeacon uses data to run your account, send you service and marketing email, answer your customers’ questions, produce analytics and insights for you, and develop and improve the Services.

Organisation domains. If you register with an email address belonging to an organisation and that organisation later takes on a Deacon business account, HeyDeacon may transfer your account into it, and will give you notice first so you can prepare. After a transfer, that organisation’s administrator can control and access your account.

Third party services. The Services rely on, and may link to, products HeyDeacon doesn’t control. Those are governed by their own terms, and HeyDeacon isn’t responsible for them.

Feedback. If you send HeyDeacon ideas or suggestions, HeyDeacon is free to use them without restriction and without owing you anything for them.

3. HeyDeacon’s intellectual property

HeyDeacon and its licensors own the Services and everything in them: the software, the models and prompts behind them, the designs, and the Deacon branding. These terms don’t transfer any of that to you. You may use the Deacon name and logo only as HeyDeacon’s brand guidelines allow.

The content you give Deacon to learn from stays yours. You grant HeyDeacon the licence needed to host that content, process it, and use it to answer questions and operate the Services for you.

4. Paid accounts

Billing. Keep your billing details complete and accurate, and keep a valid payment method on file. Subscriptions renew automatically until you cancel. You’re responsible for any taxes, and HeyDeacon will charge tax where required to.

Failed payments. If a payment fails, HeyDeacon may downgrade your plan or suspend your access until it’s settled.

Cancellation and refunds. You can cancel at any time; the cancellation takes effect at the end of the current billing period. Payments are non-refundable except where the law requires otherwise. Nothing here removes any cancellation or refund rights you have as a consumer under local law.

Price changes. HeyDeacon may change its prices. If a price goes up, HeyDeacon will tell you at least 30 days ahead, and the new price applies from your next renewal, so you can cancel first if you’d rather not pay it.

5. Termination and suspension

You can stop using the Services whenever you like. HeyDeacon may suspend or terminate your access if you breach these terms, if legal reasons require it, if your use creates risk or harm for HeyDeacon or anyone else, or if a free account sits inactive for more than a year. Where an inactive account is being closed, HeyDeacon will warn you first.

If you think a suspension or termination is wrong, write to hello@heydeacon.com and HeyDeacon will look at it again.

HeyDeacon may also discontinue the Services. If that happens, HeyDeacon will give you reasonable notice and refund any prepaid, unused fees.

6. Disclaimer of warranties

The Services are provided “as is” and “as available”. To the fullest extent the law allows, HeyDeacon makes no warranties, express or implied, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, or non-infringement. HeyDeacon doesn’t promise the Services will be uninterrupted, secure, or error-free.

Deacon uses AI to generate answers from the material you give it. Its output can be incomplete or wrong. You use it at your own risk, and you shouldn’t rely on it as your only source of information or as a substitute for professional advice, whether legal, financial, medical, or otherwise.

7. Limitation of liability

To the fullest extent permitted by law, neither HeyDeacon nor its affiliates, suppliers, or licensors are liable for indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, goodwill, data, or business opportunity, even if HeyDeacon was told such losses were possible.

HeyDeacon’s total liability under these terms will not exceed the greater of the amount you paid for the Service that gave rise to the claim in the 12 months before the liability arose, or one hundred pounds (£100).

Nothing in these terms excludes or limits liability that can’t lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud. These limits apply only as far as the law allows.

8. Indemnity

If you’re using the Services as a business or organisation, you’ll indemnify and hold harmless HeyDeacon, its affiliates, and its people from any claims, losses, and costs (including reasonable legal fees) arising out of your use of the Services, the content you supply to them, or your breach of these terms.

9. Resolving disputes

If something goes wrong, please come to HeyDeacon first. Email hello@heydeacon.com with the details and HeyDeacon will try to sort it out with you informally. Most problems end there.

If it can’t be resolved that way, these terms and any dispute arising out of them (including non-contractual disputes) are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If you’re a consumer, you may still have the right to bring proceedings in the courts of the country where you live, and you keep the protection of that country’s mandatory consumer laws.

10. Severability

If any part of these terms is held invalid or unenforceable, that part will be enforced as far as it can be, and the rest of the terms stay in force.

11. General terms

Assignment. You can’t assign your rights or obligations under these terms. HeyDeacon may assign its rights and obligations to an affiliate, a subsidiary, or a successor in connection with a merger, acquisition, or sale of assets.

Changes. HeyDeacon may update these terms or the Services, for example to reflect changes in the law, to protect security and safety, or as the product develops. If a change is materially adverse to you, HeyDeacon will tell you by email or in the product before it takes effect. Other changes apply once posted. If you don’t agree to a change, stop using the Services.

Waiver. If HeyDeacon doesn’t enforce part of these terms straight away, it hasn’t given up the right to enforce it later.

Trade controls. You must comply with applicable export controls and sanctions. Don’t use the Services in, or on behalf of, a country subject to UK, EU, or US embargo, and don’t use them if you’re a restricted or sanctioned party.

Entire agreement. These terms, together with any service-specific terms HeyDeacon has agreed with you, are the whole agreement between you and HeyDeacon about the Services and replace anything said or written beforehand.
